All clinical decisions, prescriptions, treatments, patient records, medical notes, communications, and healthcare services remain the responsibility of the clinic, prescriber, pharmacist, healthcare professional, or organisation using the platform.

You must ensure that all clinical activity carried out through or alongside the platform is reviewed and approved by appropriately qualified professionals.

7. Prescriptions, PMR, and Integrations

Nymo Clinic may allow connection with third-party services such as PMR systems, pharmacy systems, payment providers, messaging providers, calendar tools, or other external systems.

Where you use integrations, you are responsible for ensuring that:

  • you have permission to use the third-party service;

  • your login details, credentials, and API keys are valid and secure;

  • the integration is configured correctly;

  • information transferred between systems is checked for accuracy;

  • your use of the integration complies with applicable laws and professional obligations.

Third-party services are controlled by their own providers. We are not responsible for outages, errors, delays, pricing changes, data issues, or service limitations caused by third-party providers.

8. AI-Assisted Features

Nymo Clinic may include AI-assisted features to support administrative tasks, clinical note drafting, workflow assistance, data extraction, or operational insights.

AI-assisted features are provided to support users and improve efficiency. They must not be treated as a replacement for professional review, clinical judgement, or regulatory compliance.

You agree that:

  • AI-generated or AI-assisted outputs must be checked before use;

  • clinical notes, prescriptions, patient communications, and records must be reviewed by authorised staff;

  • you remain responsible for any decision or action taken using AI-assisted output;

  • AI-assisted features may not always be accurate, complete, or appropriate for every situation.

9. Subscriptions, Fees, and Payments

Some services may require a paid subscription, setup fee, onboarding fee, usage fee, or other charges.

Where charges apply, you agree to pay all fees in accordance with your selected plan, invoice, proposal, order form, or written agreement with us.

Unless otherwise stated:

  • fees are payable in advance or according to the invoice terms;

  • subscriptions may be monthly, annual, or otherwise agreed;

  • VAT, taxes, payment processing fees, or third-party charges may apply;

  • failure to pay may result in suspension or termination of access;

  • we may update pricing by giving reasonable notice.

Any free trial, demo, discount, or promotional offer may be changed or withdrawn at our discretion unless otherwise agreed in writing.

10. Late or Failed Payments

If your payment is overdue, failed, or unpaid, we may:

  • contact you for payment;

  • suspend access to the platform;

  • restrict support services;

  • charge reasonable administrative costs;

  • terminate your subscription if payment remains unpaid;

  • recover outstanding amounts owed to us.

Suspension for non-payment does not remove your obligation to pay any outstanding fees.

11. Cancellation and Termination

You may cancel your subscription in accordance with your selected plan, agreement, or written notice terms.

We may suspend or terminate your access if:

  • you fail to pay fees when due;

  • you breach these Terms;

After termination, your access to the platform may end. We may retain, return, delete, or export data in accordance with our agreement, Privacy Policy, data processing terms, and applicable law.

12. Data Protection

Each party agrees to comply with applicable UK data protection laws, including the UK GDPR and the Data Protection Act 2018.

Where we process personal data on behalf of a clinic or healthcare provider, we will usually act as a data processor and the clinic or healthcare provider will act as the data controller.

You are responsible for ensuring that personal data uploaded to or processed through the platform has been collected and used lawfully.

Please read our Privacy Policy for more information about how we collect, use, and protect personal data.

13. Customer Data

You retain ownership of your clinic data, patient data, business data, and content uploaded to the platform.

You grant us the necessary rights to host, process, transmit, back up, secure, and display customer data only as required to provide the services, support, maintenance, security, and agreed functionality.

We do not sell customer data.

Each party agrees to:

  • keep confidential information secure;

  • not disclose confidential information except where necessary to provide or receive the services;

  • use confidential information only for the purpose for which it was provided;

  • ensure staff, contractors, and service providers handle confidential information appropriately.

Access may be affected by:

  • maintenance;

  • updates;

  • hosting issues;

  • third-party provider failures;

  • internet or network problems;

  • security incidents;

  • events outside our reasonable control.

Support availability may depend on your subscription plan or agreement with us.

17. Changes to the Platform

We may update, improve, modify, replace, or remove features from the website or platform from time to time.

We may make changes to improve performance, security, compliance, user experience, or commercial suitability.

Where a significant change materially affects your use of a paid service, we will aim to provide reasonable notice where practical.

18. Intellectual Property

All intellectual property rights in the Nymo Clinic website, platform, software, design, branding, logos, content, documents, workflows, templates, code, databases, features, and related materials belong to us or our licensors.

You are granted a limited, non-exclusive, non-transferable right to use the platform for your internal business purposes during your active subscription.

You must not copy, reproduce, modify, distribute, sell, rent, license, reverse engineer, or create derivative works from our platform or materials without our written permission.

19. Third-Party Services and Links

Our website or platform may include links to third-party websites, integrations, services, plugins, or content.

We are not responsible for third-party websites or services. Your use of third-party services may be subject to separate terms, policies, fees, and data processing arrangements from those providers.

20. Limitation of Liability

Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, or fraudulent misrepresentation.

  • third-party service failures.

Our total liability for claims relating to the services shall not exceed the total fees paid by you to us for the relevant service during the 12 months before the claim arose, unless otherwise agreed in writing.

You agree to indemnify and hold Nymo Clinic harmless from claims, losses, damages, costs, or expenses arising from:

  • your misuse of the platform;

  • inaccurate or unlawful data entered by you;

  • your breach of data protection, clinical, regulatory, or professional obligations;

  • actions taken by your staff, contractors, or authorised users;

  • claims made by patients or third parties due to your clinical services or business operations.

22. Warranties

We will provide the services with reasonable skill and care.

However, we do not guarantee that:

  • the platform will meet every specific business requirement;

  • the platform will be uninterrupted or error-free;

  • every integration will always remain available;

  • AI-assisted features will always be accurate;

  • the platform alone will ensure compliance with all legal, clinical, or regulatory obligations.

You are responsible for assessing whether the platform is suitable for your clinic’s needs before using it.
